Terms of Service

These Terms of Service govern your use of Prokur Certify. Please read them alongside our Privacy Policy, which explains how we handle your information.

1. Acceptance of Terms

By accessing or using Prokur Certify, you agree to these Terms of Service. If you do not agree, do not use the service. You must be legally able to enter into these terms on your own behalf or on behalf of the organization you represent.

2. Description of Services

Prokur Certify provides a certification eligibility screener, application builder, AI narrative writing assistance, document management, and procurement opportunity search. The core certification tools are free to use. Some optional services described below require payment. Eligibility results and application materials are intended to help you prepare; they do not replace the requirements or decisions of a certifying agency.

3. Accounts

You agree to provide accurate, current information and keep it updated. You are responsible for activity under your account and for protecting access to it. Account sign-in may be offered through Google, LinkedIn, or Microsoft; your use of those providers is also subject to their terms and policies. Contact us promptly if you suspect unauthorized access to your account.

4. Paid Services

• Consultant Access: $19 per month for consultant dashboard and client-management features.
• Opportunity Insights: $10 per month for personalized opportunity recommendations and related features.
• AI Compliance Scan: One scan is free for each certification application. Each additional scan costs $2.99 as a one-time purchase.

Monthly plans recur through Stripe until canceled. You may cancel at any time; cancellation takes effect at the end of the current billing period. Stripe processes payments. Fees are non-refundable except where required by law.

5. No Guarantee of Certification

Prokur Certify is not a government agency and does not issue certifications. Certifying agencies alone decide whether to approve or deny applications. Eligibility results, AI-generated content, compliance scans, and readiness scores are guidance only—not guarantees of eligibility, completeness, accuracy, or approval. You must review all materials for accuracy and confirm current requirements with the relevant agency before submitting.

6. User Content & Documents

You retain ownership of the information, text, and documents you provide. You grant Prokur Certify a license to store, process, and use that content as needed to provide the services you request, including application assistance and AI-powered features. You are responsible for having the right to provide your content and for ensuring that any information you submit to a certifying agency is truthful, accurate, and complete.

7. Acceptable Use

You may not use the service unlawfully; submit fraudulent or misleading information; infringe another person’s rights; access another person’s account or documents without authorization; interfere with the service or its security; or attempt to extract data through unauthorized automated means.

8. Consultant Responsibilities

Consultants must have their clients’ authorization before accessing, managing, or submitting client information or application materials. Consultants are responsible for respecting the scope of that authorization and for their own professional obligations to clients.

9. Third-Party Links & Data

The service may display links to outside sites and procurement information from SAM.gov and state sources. Third-party links and data are provided as-is. We do not control those sources and cannot guarantee that listings, deadlines, or other information are accurate, complete, or current. Verify details with the issuing agency before acting on an opportunity.

10. Intellectual Property

Prokur Certify and its licensors retain their rights in the service, including its software, design, branding, and original content. These terms do not transfer those rights to you. Your rights in your own content are described above.

11. Disclaimer of Warranties

To the extent permitted by law, the service is provided “as is” and “as available,” without warranties of any kind, express or implied. We do not warrant uninterrupted operation or that guidance, AI output, or third-party data will be error-free or suitable for a particular application.

12. Limitation of Liability

To the extent permitted by law, Prokur Certify will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the service, including lost opportunities or certification decisions. Nothing in these terms limits liability that cannot legally be limited.

13. Termination

You may stop using the service at any time. We may suspend or terminate access if you violate these terms or if necessary to protect the service, its users, or others. Termination does not cancel charges already incurred or affect provisions that by their nature should survive termination.

14. Changes to Terms

We may update these terms from time to time. We will post the updated terms here and revise the “Last Updated” date. Your continued use of the service after updated terms take effect constitutes acceptance of those terms.

15. Governing Law

These terms are governed by applicable laws of the United States and the state laws applicable where Prokur Certify operates, without regard to conflict-of-law principles, except where applicable law requires otherwise.
